涉外合同的种类与语言风格

　　导读：涉外合同与国内合同一样种类繁多，此外，涉外合同是一种国际间的合作协议，不同的国家各有自己不同的语言风格，但是作为国际通用的语言还是比较固定的，因此，涉外合同也具有比较固定的语言结构。

　　涉外合同的种类：⑴国际货物销售合同；⑵国际技术转让合同；⑶中外合资/合作经营企业合同；⑷国际工程承包合同；⑸补偿贸易合同；⑹中外合作开采自然资源合同；⑺涉外劳务合同；⑻国际租赁合同；⑼涉外信贷合同；⑽国际BOT（Build-Operate-Transfer）投资合同。

　　涉外合同语言结构：前言、正文和结尾

　　前言部分包括当事人的名称或者姓名、国籍、主营业务或者住所及合同签订的日期、地点。前言主要明确合同的主体是谁；合同各方是否具有合法主体资格；合同及合同争议应适用的法律；合同履行地点；合同生效、终止、履行日期及争议时的司法管辖权。

　　例1：一则补偿贸易合同的前言部分

　　This contract is made and entered into in Beijing this18th day of March，2001，by and between ABCcorporation，a corporation duly organized and existing under the laws of the People’s Republic of China with its domicile at Shanghai（hereinafter referred to as“Party A”）and XYZcompany，a company incorporated and existing under the laws of the United States with its domicile at Atlanta（hereinafter referred to as“Party B”），

　　WITNESSETH THAT：

　　WHEREAS Party Bhas machines and equipment for Party B’s manufacturing of auto safety belt and is willing to sell to Party Athe machines and equipment；…

　　WHEREAS Party Aagrees to purchase from Party Bmachines and equipment；…

　　NOW，THEREFORE，in consideration of the promises and covenants described hereinafter，the parties hereto agree as follows:

　　译文：本合同于2001年3月18日在北京由按中华人民共和国法律组建成立的，营业地点在上海的ABC公司（以下简称甲方）和按美国法律注册成立的、营业地在亚特兰大的XYZ公司（以下简称乙方）共同签订。
